Acceptance of These Terms
These Terms of Service govern your access to and use of MicBoxx, including our website, creator tools, listener tools, subscriptions, messaging, catalog management, commerce tools, and related services operated by Fever LLC.
By accessing or using MicBoxx, creating an account, uploading content, subscribing to a paid plan, or otherwise using the service, you agree to be bound by these Terms and by any additional policies referenced in them, including the Privacy Policy.
If you do not agree to these Terms, do not use MicBoxx.
Eligibility and Accounts
You must be legally able to enter into a binding agreement in your jurisdiction to use MicBoxx. If you are using MicBoxx on behalf of a company, label, management entity, or other organization, you represent that you have authority to bind that organization to these Terms.
You are responsible for maintaining accurate account information, safeguarding your login credentials, and all activity that occurs under your account. You must notify MicBoxx promptly if you believe your account or credentials have been compromised.
MicBoxx Services
MicBoxx provides tools for music discovery, creator publishing, fan relationships, direct commerce, paid memberships, and other related platform features. Some features are free and others require a paid subscription or separate purchase.
We may change, improve, suspend, or discontinue parts of the service at any time, including in response to product, legal, security, or operational needs.
Creator Content and Platform Licenses
You retain ownership of content you upload or submit to MicBoxx, subject to the rights you grant us under these Terms. By uploading music, artwork, metadata, descriptions, images, videos, messages, or other content, you grant Fever LLC and MicBoxx a non-exclusive, worldwide, royalty-free license to host, store, reproduce, adapt, display, distribute, stream, and otherwise use that content as necessary to operate, improve, promote, secure, and provide the service.
You represent and warrant that you own or control all rights necessary to upload, publish, monetize, and license your content through MicBoxx, and that your content does not infringe or violate the rights of any third party.
Acceptable Use
You may not use MicBoxx to violate law, infringe intellectual property, mislead users, scrape or harvest data without authorization, interfere with platform security, manipulate metrics, transmit malware, impersonate another person or entity, or abuse payment, subscription, promotion, messaging, or reporting features.
We may investigate misuse, remove content, limit distribution, suspend features, terminate access, or cooperate with law enforcement where appropriate.
Subscriptions, Billing, and Renewals
Paid creator and listener features may be offered on recurring or fixed billing terms. When you purchase a subscription, you authorize us and our payment processors to charge the stated fees, taxes, and any other disclosed amounts using your selected payment method.
Unless expressly stated otherwise at checkout, recurring subscriptions renew automatically until canceled. You are responsible for keeping your billing details current. If a payment fails, we may retry the charge, move the subscription into a past-due or grace state, suspend access to paid features, or cancel the subscription.
MicBoxx billing surfaces may show lifecycle state such as active, past due, paused, cancellation scheduled, canceled, or expired. Renewal and cancellation timing shown in your account is part of your recurring billing record.
Refunds, credits, cancellation timing, and billing treatment are governed by the following policy: All payments are final and non-refundable except where required by law. Recurring subscriptions may be canceled at any time, but cancellation is scheduled for the end of the current paid billing period. Access remains active through that paid period unless we state otherwise at checkout. No prorated refunds or credits are issued for unused time after cancellation unless applicable law requires otherwise.
Creator Sales and Payouts
If MicBoxx enables direct creator sales, subscriptions, or monetized fan access, additional commercial rules may apply, including fees, payout thresholds, reserve periods, tax documentation requirements, fraud review, chargeback handling, refund deductions, and payment processor requirements.
You are responsible for the accuracy of your payout and tax information and for any taxes or reporting obligations that apply to your sales, subscriptions, income, or business operations unless applicable law requires otherwise.
Intellectual Property and DMCA
MicBoxx, the MicBoxx brand, platform design, software, text, graphics, interfaces, and service features are owned by Fever LLC or its licensors and are protected by intellectual property laws. Except as expressly allowed, you may not copy, modify, distribute, reverse engineer, or create derivative works from the service or its materials.
If you believe content on MicBoxx infringes your copyright or other rights, send a legally sufficient notice to the contact listed in the Contact and Notices section below. We may remove or restrict allegedly infringing material, notify the uploader, and process counter-notices where applicable.
Termination and Suspension
You may stop using MicBoxx at any time. We may suspend, restrict, or terminate access to all or part of the service if we reasonably believe you violated these Terms, created legal or security risk, failed to pay required fees, or misused the platform.
Termination does not eliminate payment obligations already incurred and does not affect provisions that by their nature should survive termination, including intellectual property, indemnity, disclaimers, liability limitations, dispute resolution, and payment obligations.
Disclaimers
MicBoxx is provided on an as available and as is basis to the maximum extent permitted by law. We do not guarantee uninterrupted service, error-free performance, specific commercial outcomes, audience growth, payout levels, content availability, or that all platform features will always remain available.
To the fullest extent permitted by law, Fever LLC disclaims warranties of merchantability, fitness for a particular purpose, non-infringement, title, and any warranties arising out of course of dealing or usage of trade.
Limitation of Liability
To the fullest extent permitted by law, Fever LLC, MicBoxx, and their affiliates, officers, employees, contractors, licensors, and service providers will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or for lost profits, lost revenues, lost data, business interruption, goodwill loss, or procurement of substitute services arising out of or related to your use of MicBoxx.
To the fullest extent permitted by law, our aggregate liability for claims arising out of or related to MicBoxx will not exceed the greater of the amount you paid to MicBoxx in the twelve months before the event giving rise to the claim or one hundred U.S. dollars (USD $100).
Indemnification
You agree to defend, indemnify, and hold harmless Fever LLC, MicBoxx, and their affiliates, officers, employees, contractors, licensors, and service providers from and against claims, liabilities, damages, judgments, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or related to your content, your use of MicBoxx, your breach of these Terms, or your violation of law or third-party rights.
Governing Law and Dispute Resolution
These Terms are governed by the laws that apply to Fever LLC and the operation of MicBoxx, without regard to conflict-of-law principles, except to the extent those principles are required by law.
Any dispute arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in King County, Washington, unless applicable law requires otherwise.
Changes to the Terms
We may update these Terms from time to time. When we do, we will revise the effective date above and may provide additional notice where required. Your continued use of MicBoxx after updated Terms become effective means you accept the revised Terms.
